Termsroom for commercial real estate
When terms get reworked, keep one record both sides can check
A loan comes due and is extended. A price is revisited after due diligence. A lease is renewed rather than signed new. Each is a negotiation between two organizations over a run of drafts. A deal gives one of them a shared, dated room for sixty days.
Why commercial real estate has its own pages
When a market slows, much of the work becomes renegotiation: extensions, modifications, retrades and renewals. Those are the negotiations where people later ask which draft was agreed, who sent the change, and when. Termsroom keeps that record while the negotiation happens, rather than rebuilding it from email afterwards.
Three agreements, one way of working
Loan workouts and extensions
A maturity extension, a loan modification, a forbearance agreement or a refinancing term sheet, between the borrower and the lender or its servicer.
For borrower counsel, restructuring advisers and lender workout teams.

The page for leasesWhat every deal includes
- Every draft kept in order with its date, who sent it, and what changed from the last one.
- A list of the points still open, and a record of each one both sides agree.
- A private room for your side and a shared room for both. The other side never sees inside yours.
- A fingerprint on every version, so either side can show the copy it holds is the one exchanged.
- Documents stay in your own storage, not ours. The other side joins free and needs no storage of its own.
- When the sixty days end the deal becomes read only, and nothing in it is deleted.
What it costs
Your first deal is free. After that, a deal is $150 for sixty days.
- A thirty-day extension is $50, up to two per deal.
- Five deals are $500 and twenty-five are $1,945. Deals Unlimited is $4,995 a year for up to 25 people.
Launch prices, the same figure in US or Canadian dollars, for purchases made until October 31, 2027. Until buying deals online opens, write to sales@termsroom.com.
Who builds it
Raman Kapil, MBA, C.Dir, CPA
Termsroom is built by MarkR Management Inc. in British Columbia, Canada. Its founder is a Chartered Professional Accountant and a Chartered Director with an MBA, and the product is built around one idea: when two organizations negotiate, both should be able to check the record of what was exchanged, without relying on either inbox.
About the founderWorth knowing before you start
- A deal is between two organizations: one side and the other. A syndicated loan with several lenders, or a capital stack with several investors at one table, is not supported.
- It is not a virtual data room for many bidders, and it is not a loan servicing system.
- It does not sign anything. Sign the way you do today, with your e-signature tool or on paper.
- It does not give legal, credit or valuation advice, and it does not tell you what to accept.
- The Termsroom record is held in Canada today; a US region is planned, not built. Your documents stay in your own storage, wherever that is.
