From LOI to purchase and sale agreement, in one room

A buyer and a seller agree a price in a letter of intent, then negotiate the purchase and sale agreement, and sometimes the price again after due diligence. A deal gives that one transaction a shared, dated room for sixty days.

The problem

The LOI, the PSA drafts and the contingencies travel by email between the buyer, the seller, two law firms and the brokers. When the price or a contingency changes after due diligence, each side later remembers the retrade differently.

How Termsroom handles it

  • Every LOI and draft is kept in order with its date and who sent it, with what changed from the last one.
  • The points still open, such as the price, the earnest money, the contingencies, the closing date and the reps and warranties, are listed, and each one agreed is recorded.
  • A retrade is a new version with its own date, so the record shows what changed and when.
  • Your side keeps a private room for your client and your team. The other side sees only the shared table, and joins free.

What you end up with

A dated record of the transaction terms, from the first LOI to the agreed PSA, kept read only for the file once the deal ends.

Where it fits

Letters of intent

The rounds on price and key terms before the PSA is drafted.

Purchase and sale agreements

The drafts between buyer’s and seller’s counsel, with contingencies and exhibits.

Retrades after due diligence

A revised price or credit, recorded as its own dated version.

Amendments before closing

A waiver, an extended due diligence period or a new closing date.

What it costs

Your first deal is free. After that, each transaction is $150 for sixty days.

  • A thirty-day extension is $50, up to two per deal.
  • A brokerage or firm with many transactions can buy five for $500 or twenty-five for $1,945, or take Deals Unlimited at $4,995 a year for up to 25 people.

Launch prices, the same figure in US or Canadian dollars, for purchases made until October 31, 2027. Until buying deals online opens, write to sales@termsroom.com.

Worth knowing

  • A deal is two organizations: the buyer’s side and the seller’s side. A sale with several bidders, or a joint venture with several investors negotiating at once, is not supported.
  • It is not a virtual data room for due diligence files.
  • It does not sign the agreement. Sign it the way you do today, with your e-signature tool or on paper.
  • It does not give legal or valuation advice and does not tell you what to accept. Your attorney and your broker still do that.
  • The Termsroom record is held in Canada today; a US region is planned, not built. Your documents stay in your own storage, wherever that is.
